1. Agreement to Terms

Welcome to Rakit ERP and its modules, including Rakit POS (collectively, the "Platform"), developed and operated by Cognerest ("Company," "we," "our," or "us").

By accessing or using the Platform, including the Rakit ERP backend system and Rakit POS point-of-sale application ("Application"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access or use our Platform.

2. Description of Service

2.1 Service Overview

Rakit ERP is a comprehensive enterprise resource planning platform designed for Indonesian Micro, Small, and Medium Enterprises (MSMEs). Rakit POS is the point-of-sale module within this Platform. Together, they provide:

  • Point-of-sale transaction processing
  • Inventory management
  • Financial reporting and accounting journals
  • SAK EMKM (Standar Akuntansi Keuangan Entitas Mikro, Kecil, dan Menengah) compliant bookkeeping
  • Customer relationship management
  • Multi-branch and multi-user support

2.2 Offline-First Architecture

Our Application is designed to function fully offline. Transactions and data are stored locally on your device and synchronized with our servers when an internet connection becomes available.

3. Eligibility

To use the Rakit Platform (including Rakit ERP and Rakit POS), you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding agreements
  • Not be prohibited from using the Application under applicable laws
  • Provide accurate and complete registration information
  • Use the Application for lawful business purposes only

4. Account Registration

4.1 Account Creation

To access the full features of the Rakit Platform, you must create an account by providing:

  • Valid email address
  • Secure password
  • Organization/business information

4.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Immediately notifying us of any unauthorized access or security breaches

4.3 Account Termination

We reserve the right to suspend or terminate your account if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activities
  • Fail to pay applicable subscription fees
  • Provide false or misleading information

5. Subscription and Payment

5.1 Subscription Plans

Rakit POS may offer various subscription plans with different features and pricing. Details of available plans are provided in the Application or on our website.

5.2 Payment Terms

  • Subscription fees are billed in advance
  • Payment must be made through approved payment methods
  • All fees are non-refundable unless otherwise stated
  • Prices are listed in Indonesian Rupiah (IDR)

5.3 Taxes

You are responsible for all applicable taxes, including VAT/PPN (Pajak Pertambahan Nilai), based on your business type and applicable Indonesian tax regulations.

6. Acceptable Use

6.1 Permitted Uses

You may use Rakit POS to:

  • Process legitimate business transactions
  • Manage your business inventory and finances
  • Generate financial reports and accounting records
  • Collaborate with authorized team members

6.2 Prohibited Uses

You agree NOT to:

  • Use the Application for illegal, fraudulent, or unauthorized purposes
  • Attempt to gain unauthorized access to our systems or other user accounts
  • Distribute malware, viruses, or harmful code
  • Circumvent or attempt to bypass security measures
  • Reproduce, modify, or distribute the Application without authorization
  • Use the Application in a manner that could damage or overburden our infrastructure
  • Process transactions for illegal goods or services
  • Create multiple accounts to circumvent restrictions or fees

7. Intellectual Property

7.1 Ownership

The Application, including all software, design, content, features, and trademarks, is owned by Cognerest and protected by Indonesian and international intellectual property laws.

7.2 License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Application solely for your internal business purposes in accordance with these Terms.

7.3 Your Content

You retain ownership of the data and content you input into the Application. By using the Application, you grant us a license to host, store, and process your content as necessary to provide the Services.

8. Data and Privacy

8.1 Data Processing

Your use of Rakit POS is also subject to our Privacy Policy, which explains how we collect, use, and protect your data.

8.2 Data Ownership

  • Your Data: Business transaction data, customer information, and financial records you input belong to you.
  • Our Systems: We may use aggregated, anonymized data for analytics and service improvement.

8.3 Data Portability

You may export your data at any time through the Application's data export features.

9. Third-Party Services

9.1 Integrations

Rakit POS may integrate with third-party services including:

  • Google Authentication
  • Payment processors (Xendit)
  • Cloud storage providers

9.2 Third-Party Terms

Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party services.

10. Disclaimers

10.1 "AS IS" Provision

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy or reliability

10.2 No Guarantee

We do not guarantee that:

  • The Application will be uninterrupted or error-free
  • Defects will be corrected
  • The Application is free from viruses or harmful components
  • Results from using the Application will meet your requirements

11. Limitation of Liability

11.1 Extent of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COGNEREST AND ITS AFFILIATES SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, use, or goodwill
  • Business interruption
  • Any damages exceeding the total fees paid by you in the 12 months preceding the claim

11.2 Essential Purpose

THESE LIMITATIONS APPLY EVEN IF THE REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

12. Indemnification

You agree to indemnify, defend, and hold harmless Cognerest, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:

  • Your use of the Application
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content you submit through the Application

13. Modifications to Terms

13.1 Right to Modify

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Application or website.

13.2 Notification

For material changes, we will provide notice through:

  • In-app notifications
  • Email to your registered address
  • Prominent posting on our website

13.3 Continued Use

Your continued use of the Application after changes constitutes acceptance of the modified Terms.

14. Termination

14.1 By You

You may terminate your account at any time by:

  • Using the account deletion feature in the Application
  • Contacting our support team

14.2 By Us

We may terminate or suspend your access immediately, without prior notice, for:

  • Breach of these Terms
  • Violation of applicable laws
  • Conduct harmful to other users or the Application

14.3 Effect of Termination

Upon termination:

  • Your right to use the Application ceases immediately
  • We may delete your data after a retention period (as specified in our Privacy Policy)
  • Provisions intended to survive termination will remain in effect

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Indonesia.

15.2 Dispute Resolution

Any disputes arising from these Terms or your use of the Application shall be resolved through:

  1. Negotiation: Good faith negotiations between the parties
  2. Mediation: If negotiation fails, through mediation in Jakarta, Indonesia
  3. Arbitration: If mediation fails, through binding arbitration under the rules of the Indonesian National Arbitration Board (BANI)

15.3 Jurisdiction

For any matters not subject to arbitration, you submit to the exclusive jurisdiction of the courts of Jakarta, Indonesia.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Cognerest regarding the Application.

16.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

16.3 Waiver

Failure to enforce any right or provision shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights without restriction.

16.5 Force Majeure

Neither party shall be liable for delays or failures caused by events beyond reasonable control, including natural disasters, war, terrorism, strikes, or government actions.

18. Language

These Terms are provided in English and Indonesian. In case of conflict, the Indonesian version shall prevail for users in Indonesia.
